Full BNPL Terms and Conditions

1What These Terms Cover
1.1These Buy Now Pay Later (“BNPL”) Terms and Conditions (“Terms”) explain how Stitch Money Proprietary Limited (“Stitch” or “we”) enables you (“you”, or “your”) to pay for goods or services purchased from approved merchants (“Merchants”) over time, using Stitch's BNPL services (“BNPL Service”).
1.2Depending on the arrangement between Stitch and the Merchant, your purchase may be:
1.2.1Stitch Funded: Stitch pays the Merchant upfront on your behalf, and you repay Stitch; or
1.2.2Merchant Funded: The Merchant allows you to pay over time, and Stitch facilitates the collection of your instalments for the Merchant,
these Terms apply to both the Stitch Funded and Merchant Funded models.
1.3Depending on the model, either Stitch or the Merchant may be the “BNPL Provider”. Meaning, if your purchase is Stitch Funded, Stitch will be the BNPL Provider. Similarly, if your purchase is Merchant Funded, the Merchant will be the BNPL Provider.
1.4Your purchase contract for the goods or services remains with the Merchant. Your payment and repayment obligations are to the BNPL Provider.
2Eligibility
2.1To use the BNPL Service, you confirm that:
2.1.1you are at least 18 years old and a South African resident;
2.1.2you are not under debt review, sequestration, or administration;
2.1.3you have a valid South African bank account and debit or credit card in your name; and
2.1.4all information you provide to Stitch and the Merchant is true, complete and accurate.
2.2Stitch may conduct affordability and credit assessments as required by law. You may be asked to provide supporting documents or allow Stitch to access affordability data.
3How the BNPL Service Works
3.1When you choose to use the BNPL Service at checkout, Stitch will assess your application for affordability and creditworthiness.
3.2If Stitch approves your application:
3.2.1you will receive a repayment plan through the Stitch app or portal, or by email showing the instalment amounts and due dates (a "Repayment Plan"); and
3.2.2you will owe Stitch or the Merchant, depending on whether your purchase was Stitch Funded or Merchant Funded.
3.3Stitch may approve or decline each of your applications at its discretion, even if you've used the BNPL Service before.
3.4You authorise Stitch to collect the instalments from your linked card or bank account on the due dates and in line with your Repayment Plan.
3.5Stitch will either:
3.5.1collect and retain your instalments (if Stitch Funded), or
3.5.2collect and transfer your instalments to the Merchant (if Merchant Funded).
3.6You may terminate your use of the BNPL Service at any time by paying any outstanding instalments.
4Your Repayments
4.1You must ensure enough funds are available for Stitch to collect each instalment on its due date.
4.2If collection fails, Stitch may reattempt collection or contact you to arrange settlement.
4.3If you miss an instalment it remains due and owing to the BNPL Provider, and the BNPL Provider (acting through Stitch, where applicable) may, as a result of your default, also:
4.3.1charge a late fee;
4.3.2charge interest (at a rate of 2% per month, which will (i) start from the 31st day after the due date; (ii) be calculated daily; (iii) and charged once a month on the amount you still owe. Interest will not be compounded, and we will never charge more than the legal maximum allowed under Section 103(5) of the National Credit Act); and/or
4.3.3accelerate future instalments.
4.4If the BNPL Provider charges a late fee or interest, it will create an incidental credit agreement as defined in the National Credit Act, and the BNPL Provider will comply with all applicable requirements.
4.5Stitch does not impose any interest, service fees, account fees, or other charges for the normal use of the BNPL Service. The BNPL Service is free of charge when instalments are paid on time.
4.6Any late fees or incidental interest arise only if you default on a payment, and are applied strictly in line with the National Credit Act's incidental credit provisions. This means the BNPL Service itself is not a credit agreement and Stitch is not acting as a registered credit provider in respect of the BNPL Service.
4.7If an incidental credit agreement arises, you may lodge complaints with the National Credit Regulator (NCR) or approach the National Consumer Tribunal.
4.8You must continue to pay all instalments even if goods or services are returned, defective or disputed, unless the Merchant approves a refund and confirms this with Stitch.
5Returns and Refunds
5.1Returns and refunds must follow the Merchant's return and refund policy.
5.2Once the Merchant confirms an approved refund with Stitch, Stitch will:
5.2.1pay the refund to you via your original payment method; and
5.2.2adjust your Repayment Plan to reflect the refund.
5.3If the Merchant refunds you directly (for example, in cash or store credit), you remain responsible for repaying the BNPL Provider until the Merchant confirms the refund with Stitch, or Stitch confirms otherwise.
6Your Responsibilities
You agree to:
6.1keep your account and payment details secure;
6.2notify Stitch immediately if you suspect unauthorised use or fraudulent activity;
6.3use the BNPL Service only for lawful purchases;
6.4pay all instalments through Stitch, even if you have a dispute with a Merchant; and
6.5pay any bank fees or charges arising from your instalments and use of the BNPL Service.
7Credit Checks and Privacy
7.1You consent to Stitch and/or the Merchant performing credit and affordability checks when you apply to use the BNPL Service, and at any time thereafter.
7.2Stitch and/or the Merchant may share your credit information and payment history with registered credit bureaus.
7.3Stitch may collect and process your personal information in line with its Privacy Policy and the Protection of Personal Information Act (POPIA).
8Default and Collections
8.1If you miss payments or instalments, the BNPL Provider may:
8.1.1send you a notice and, if unresolved, start legal proceedings;
8.1.2report your default to credit bureaus; and/or
8.1.3recover legal and collection costs from you.
8.2A certificate signed by Stitch or the Merchant showing the amount owed will be sufficient proof of debt, unless you prove otherwise.
8.3Your registered email address or account contact details will serve as your chosen address (domicilium) for notices or legal documents.
9Communications
9.1Stitch may contact you by email, SMS, in-app message or through the Merchant (at its discretion) regarding payments or account matters.
9.2You may opt out of marketing communications at any time by following the unsubscribe instructions or contacting Stitch. Communications related to payments or your account cannot be opted out of.
10Limitation of Liability
10.1In the Merchant Funded model, Stitch acts only as a payment facilitator and is not responsible for credit granted by the Merchant.
10.2You acknowledge that Stitch is not responsible for:
10.2.1any loss arising from goods or services provided by the Merchant;
10.2.2any unauthorised use of your account; or
